Microsoft Agrees to $250 Million Settlement Over Activision Blizzard Lawsuit

Microsoft has agreed to pay $250 million to settle a shareholder lawsuit connected to its acquisition of Activision Blizzard, bringing an end to one of the major legal disputes surrounding the historic gaming industry deal.

The lawsuit was originally filed in 2022 by Swedish pension fund AP7, which accused Activision Blizzard leadership of rushing the sale to Microsoft while the company faced mounting pressure over workplace misconduct allegations and public controversy.

Former CEO Bobby Kotick became a central figure in the case, with claims suggesting the acquisition process was accelerated while scrutiny around Activision Blizzard continued to grow.

According to filings submitted to Delaware’s Court of Chancery in late May 2026, Microsoft agreed to settle the dispute without admitting wrongdoing.

Shareholders Could Receive Compensation

If the settlement receives final court approval, investors who held Activision Blizzard shares between Microsoft’s acquisition announcement in January 2022 and the official closing of the transaction in October 2023 may qualify for compensation.

Reports indicate the payout would equal roughly 30 cents per eligible share.

Microsoft stated that the payment was made to avoid prolonged litigation and additional legal costs rather than serve as an admission of misconduct or improper behavior during the acquisition process.

The company also rejected accusations suggesting broader failures inside Activision Blizzard’s board or management structure.

Settlement Also Ends Separate Legal Disputes

The agreement would also resolve separate legal actions connected to the case.

Earlier in 2026, Bobby Kotick filed counterclaims against AP7, accusing the pension fund of abusing the legal process during the lawsuit.

Court-approved settlement language additionally stated that some allegations raised earlier in the case were later described as unsubstantiated.

Despite that clarification, the lawsuit remained closely watched due to the scale of Microsoft’s acquisition and the controversies that surrounded Activision Blizzard throughout the merger process.

One of the Largest Deals in Gaming History

Microsoft’s acquisition of Activision Blizzard remains one of the most expensive transactions the gaming industry has ever seen.

The deal was initially announced at $68.7 billion, though later financial calculations placed the total purchase price closer to $75.4 billion after adjustments and additional costs were factored in.

Compared to the overall size of the acquisition, the additional $250 million settlement only slightly increases Microsoft’s total spending on the deal.

However, the settlement continues a long chain of legal battles, investigations, and public scrutiny that followed Activision Blizzard before and after the merger was completed.

Workplace Controversies Continue to Cast a Shadow

The shareholder lawsuit also renewed attention around the workplace discrimination investigations that heavily impacted Activision Blizzard before Microsoft finalized the acquisition.

Those controversies became a major topic throughout the merger process and played a significant role in public discussions surrounding the company’s leadership and corporate culture.

A separate California workplace discrimination case previously ended in a $54 million settlement in December 2023 without admissions of wrongdoing.

While Microsoft has since integrated Activision Blizzard into its gaming division, legal and reputational fallout connected to the acquisition continues to surface years after the original announcement.
